Loan Transactions (Borrowers and Lenders)
We represent both lending institutions and borrowers in secured and unsecured commercial loan transactions, including asset-based lending. Our corporate attorneys handle the documentation, review, and negotiation of loan and ancillary documents.
We have experience with complex transactions, including Industrial Development Agency and other government-assisted loan transactions. In these matters, our corporate attorneys work closely with the lawyers in our Real Estate Practice Group.
We handle loan restructurings and work-outs and draw from various disciplines within the firm to assist lenders in dealing with troubled borrowers. In general, the teams are lawyers experienced in bankruptcy matters and corporate, real estate, and finance transactions, who work together to help assure that our clients receive the maximum recovery from borrowers in distress. Their measures typically include obtaining additional collateral and other security, often in the form of third-party guarantees, to support the repayment obligations on an outstanding loan. Where appropriate, these lawyers draw on the resources of our commercial litigators to buttress and advance our clients’ positions.
