Samantha R. Barbere
AssociateSamantha R. Barbere concentrates her practice on general corporate representation. She advises clients on a broad range of corporate matters and counsels them on matters including mergers and acquisitions, shareholder agreements and limited liability company agreements.
Samantha also frequently counsels businesses on the dissolution and winding down of their corporation, limited liability company (LLC) or partnership resulting from judicial dissolutions or negotiated settlements. When business breakups occur, Samantha advises clients on the most beneficial structure and assists clients with the documentation of their liquidation, buy-out or other form of business reorganization.
With exposure to a wide variety of transactional matters, Samantha’s experience covers all forms of corporate and intellectual property agreements, including but not limited to, purchase agreements, license agreements, employment and consulting agreements, endorsement agreements and non-disclosure agreements.
Additionally, Samantha has experience in advising a broad range of clients in the cannabis industry. She assists clients with their investments in cannabis-related companies and advises them on a wide range of issues including legal planning, corporate guidance and compliance strategies.
Samantha is the author of an article entitled, “DEA, Are You Listening? The Second Circuit Sends the Drug Enforcement Agency A Message Holding Cannabis Case In Abeyance.” She was quoted in the September 2019 Secured Lender article, “Everything You Wanted To Know About Cannabis…But Were Afraid To Ask.”
Samantha graduated magna cum laude from LIU Post with a degree in Criminal Justice. While attending Maurice A. Deane School of Law at Hofstra University, where she graduated cum laude with a concentration in Intellectual Property, Samantha served as an Articles Editor for the Hofstra Labor and Employment Law Journal. She was President of the Sports and Entertainment Law Society and was the 2015 Dispute Resolution Society intramural competition champion.
