Robert Kern focuses his practice on corporate transactions, representing small to midsized private companies as well as individuals with an emphasis on the creation and governance of business entities as well as general commercial and contract matters.  His practice includes:

  • the formation, operation and governance of limited liability companies
  • startups, joint ventures, venture capital and private equity financing
  • mergers and acquisitions,
  • employment agreements
  • service and vendor agreements

As a Member of Rivkin Radler’s Corporate Practice Group, Robert’s practice includes providing outside general counsel services to businesses and individuals in the fashion, lifestyle, consumer products and entertainment industries.  In the context of the entertainment industry, he also has experience with film financing agreements, option agreements, talent agreements and book publishing agreements.  He has experience with the disposition of the assets of distressed companies out of bankruptcy.

Robert is currently the head of Rivkin Radler’s Cannabis Practice Group.  He has experience in the Cannabis industry, having counseled clients regarding investments in cannabis and cannabis-related business as well as businesses involved with medical marijuana, industrial hemp and CBD.  Robert has also provided counsel to clients regarding licensing issues with respect to cannabis in New York and New Jersey as well as guidance to clients regarding the status of cannabis legislation and regulation in those states as well as at the federal level.

Bob is a frequent speaker at the New York City Bar Center on topics related to the formation and use of limited liability companies and other corporate issues.
